By accessing or using Nijam (nijam.co), including any associated services, applications, and APIs (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (whether individually or on behalf of an entity) and Nijam Technologies ("Nijam," "we," "us," or "our").
Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically.
Nijam is a Software-as-a-Service (SaaS) invoicing platform designed for multi-entity businesses operating in India and the United States. The Service provides:
Nijam reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.
Invite-Only Access. Nijam operates on an invite-only basis. Access to the Service requires an approved registration request or a direct invitation from an existing organization administrator. We reserve the right to approve or deny registration requests at our sole discretion.
Accuracy of Information. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. This includes your legal business name, tax identification numbers (GSTIN, EIN), and contact information.
Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@nijam.co if you suspect any unauthorized use of your account.
One Account Per Person. Each user must maintain only one account. Organization administrators are responsible for managing user access within their organization through the role-based access control system.
Free Tier. Nijam offers a free tier that includes up to 3 business entities, 5 users, and 100invoices per month. The free tier is subject to fair use policies and may be modified with 30 days' notice.
Paid Plans. Paid subscription plans offer higher limits on entities, users, invoices, and access to premium features such as advanced compliance reporting, priority support, and custom branding. Plan details and pricing are available on our website and may be updated periodically.
Payment Processing. Payments for Indian entities are processed through Razorpay. Payments for US entities are processed through Stripe. By subscribing to a paid plan, you agree to the terms of service of the applicable payment processor.
Billing Cycle. Subscriptions are billed on a monthly or annual basis, as selected at the time of purchase. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
Overages. If your usage exceeds the limits of your current plan, you will be notified and given the option to upgrade. Continued excess usage without an upgrade may result in temporary restrictions on Service features.
Accurate Data. You are solely responsible for the accuracy and completeness of all data you enter into the Service, including but not limited to business information, client details, invoice amounts, tax identification numbers, HSN/SAC codes, and tax rates.
Lawful Use. You agree to use the Service only for lawful purposes and in accordance with all applicable local, state, national, and international laws and regulations.
Tax Compliance. While Nijam provides tools to assist with tax calculations and compliance reporting, you acknowledge that ultimate responsibility for tax compliance rests with you. You are responsible for determining the correct tax rates, filing returns on time, and remitting taxes to the appropriate authorities. Nijam does not file tax returns on your behalf.
Professional Advice. You acknowledge that Nijam does not provide legal, tax, or accounting advice. You should consult qualified professionals (Chartered Accountants, CPAs, tax attorneys) for guidance on your specific tax obligations.
Platform Ownership. The Service, including its source code, design, algorithms, AI models (including Nijam AI), templates, branding, documentation, and all related intellectual property, is and remains the exclusive property of Nijam Technologies. No license or right is granted to you except as expressly stated in these Terms.
Your Data.You retain all ownership rights to the data you input into the Service ("Your Data"). By using the Service, you grant Nijam a limited, non-exclusive license to process, store, and display Your Data solely for the purpose of providing and improving the Service. We will not sell, share, or use Your Data for advertising purposes.
Feedback. Any suggestions, ideas, or feedback you provide regarding the Service may be used by Nijam without any obligation to compensate you.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement industry-standard security measures including tenant-level data isolation, encryption at rest and in transit, role-based access controls, and comprehensive audit logging. For more details on our security practices, please refer to our Privacy Policy.
By using the Service, you consent to the collection and processing of your data as described in our Privacy Policy.
You agree not to use the Service for any of the following purposes:
Violation of these prohibitions may result in immediate account termination without notice or refund.
The following terms apply to users operating Indian business entities through the Service:
Governing Law. For Indian users and entities, these Terms shall be governed by and construed in accordance with the laws of the Republic of India, including but not limited to the Information Technology Act, 2000 (and its amendments), the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Consumer Protection Act, 2019.
Jurisdiction. Any disputes arising out of or relating to these Terms for Indian users shall be subject to the exclusive jurisdiction of the courts located in Andhra Pradesh, India.
GST Compliance Disclaimer. While Nijam provides tools to assist with GST calculations, HSN/SAC code validation, and GSTR-1 report generation, these tools are provided as aids only. Nijam does not guarantee the accuracy of GST calculations or the acceptance of generated reports by GST authorities. You are solely responsible for verifying all tax computations and filings with your Chartered Accountant or tax advisor before submission to the GST portal.
E-Invoicing. Features related to e-invoicing (IRN generation, QR codes, Aadhaar eSign) are provided to facilitate compliance with the applicable provisions of the CGST Rules. Users must ensure their e-invoicing obligations align with the turnover thresholds and timelines prescribed by the GST Council.
The following terms apply to users operating US business entities through the Service:
Governing Law. For US users and entities, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions, and applicable federal law.
Arbitration.Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.
Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
DMCA Compliance. Nijam respects the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, please submit a DMCA takedown notice to support@nijam.co with the required information under 17 U.S.C. Section 512(c)(3).
Sales Tax Disclaimer. Nijam provides sales tax calculation tools including nexus monitoring and ZIP-code-level rate lookup. These tools are informational and should not be relied upon as the sole basis for tax compliance. You are responsible for registering for sales tax permits, filing returns, and remitting taxes in applicable jurisdictions.
No Tax Advisory. Nijam is a technology platform, not a tax advisory firm, accounting firm, or legal practice. The Service does not constitute tax advice, legal advice, or accounting advice. Nijam is not a Chartered Accountant, Certified Public Accountant, or licensed tax professional.
No Compliance Guarantee. While we strive to provide accurate tools and up-to-date tax rates, Nijam does not guarantee that the use of the Service will result in full tax compliance or the avoidance of penalties. Tax laws change frequently, and the Service may not reflect the most recent changes at all times.
To the maximum extent permitted by applicable law, Nijam and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.
Liability Cap.In no event shall Nijam's total aggregate liability to you exceed the amount you paid to Nijam for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Uptime Target. Nijam targets 99.9% uptime for the Service, measured on a monthly basis. This target excludes scheduled maintenance windows and force majeure events.
Scheduled Maintenance.We will provide at least 48 hours' advance notice for planned maintenance that may affect Service availability. Maintenance windows are typically scheduled during off-peak hours (between 12:00 AM and 6:00 AM IST for Indian users, or 12:00 AM and 6:00 AM ET for US users).
Emergency Maintenance. In the event of critical security vulnerabilities or system failures, we may perform emergency maintenance without prior notice. We will communicate the status and expected resolution time as promptly as possible.
No Warranty.The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Termination by You. You may terminate your account at any time by contacting support@nijam.co or through your account settings. Upon termination, your right to use the Service will cease immediately.
Termination by Nijam. We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if required to do so by law. We will provide notice of termination where reasonably possible.
Data Export. Upon termination (by either party), you will have a 30-day grace period to export your data from the Service. During this period, your account will be in a read-only state. After the 30-day period, your data will be permanently deleted from our systems in accordance with our data retention policy.
Surviving Provisions. Sections relating to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive the termination of these Terms.
Nijam reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to the address associated with your account and/or through a prominent notice within the Service.
Non-material changes (such as formatting corrections or clarifications that do not alter the substance of the Terms) may be made without prior notice.
Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must discontinue use of the Service before the effective date and may request data export as described in the Termination section.
